Terms of Use — ClarityPad

Welcome to ClarityPad (“ClarityPad,” “we,” “our,” or “us”). These Terms of Use (“Terms”) govern your access to and use of our mobile and tablet applications, AI features, and related services (collectively, the “Service”). By accessing or using ClarityPad, you agree to be bound by these Terms.

1. Overview

ClarityPad is a privacy‑first AI workspace that lets you organize conversations, prompts, and notes using both your own API keys (“BYOK”) and integrated third‑party AI providers. We do not host or operate our own LLMs. All AI responses and transcriptions are generated via third‑party providers under their respective terms and acceptable use policies.

2. Eligibility

ClarityPad is intended for individuals who are 18 years of age or older (or the digital age of consent in their jurisdiction, if higher). By using the Service, you represent and warrant that you meet this requirement. We do not knowingly allow minors to create accounts. If we learn that a minor has registered, we will delete their limited account metadata and advise the user or guardian to uninstall the app to remove any local data.

3. Account Registration & Security

You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Provide accurate information and keep it updated. Notify support@claritypad.appwhen you suspect unauthorized use or a security incident.

3.1 Service Tiers & Features

Free Tier:

  • 1 workspace for organizing notes and prompts
  • 10,000 signup bonus tokens
  • Requires BYOK (Bring Your Own Key) for AI features
  • Local storage of all data
  • Voice transcription

Pro Tier:

  • Unlimited workspaces for project organization
  • 1,000,000 tokens per month for built-in AI models
  • Access to 8+ Pro AI models (no API setup required)
  • Optional BYOK for unlimited usage beyond token allocation
  • Advanced voice transcription
  • AI Memory across all workspaces
  • Priority support and early access to features

4. Subscription Plans, Billing & Refunds

  • In-App Purchases: All billing is handled by the Apple App Store and Google Play Store via RevenueCat.
  • No direct billing: ClarityPad does not process or store payment details. Store terms and policies apply.
  • Renewals & cancellations: Subscriptions renew automatically unless you cancel in your store account before the renewal date.
  • Refunds: Managed solely by Apple/Google per their policies.
  • Plans: Free and paid tiers are described in the app or store listing.

One-Time Purchase: This option provides ongoing access to the ClarityPad Pro features available at the time of purchase without recurring subscription fees. Access continues while the current version of ClarityPad and its associated services remain offered. Future versions, new products, or major feature releases may be offered separately. ClarityPad may update, modify, or discontinue individual features, APIs, or integrations over time.

5. BYOK (Bring Your Own Key)

  • Your API keys are stored locally on your device.
  • Keys are sent directly to the provider you select.
  • You are responsible for provider terms, usage limits, and any provider-side fees.

6. AI Services & Third‑Party Providers

ClarityPad integrates with trusted providers for chat completion, transcription, and related services. By using AI features, you also agree to their terms and policies:

7. User Content & Ownership

You retain ownership of the content you create (prompts, chats, notes, voice recordings, etc.). We do not claim ownership and we do not upload your personal content to our servers unless you explicitly opt into future sync/collaboration features. You grant ClarityPad a limited, non‑exclusive, royalty‑free license to use anonymized, aggregated telemetry solely to operate and improve the Service.

8. Acceptable Use & Prohibited Activities

You agree not to misuse ClarityPad or any connected AI service. You must comply with our policies and those of each provider. Prohibited uses include, without limitation:

  • Illegal activity or violation of any law or third‑party right
  • Harassment, defamation, hate, exploitation, or incitement
  • Impersonation, deception, or mass‑misinformation
  • Self‑harm content, medical/legal/financial advice reliance
  • Reverse engineering or interfering with security features/systems
  • Automated scraping, output harvesting, or rate‑limit bypass
  • Any activity that violates OpenAI, Anthropic, OpenRouter or Cloudflare AUPs

9. Data Storage & Privacy

  • ClarityPad is designed to be local‑first.
  • Your personal data (prompts, notes, BYOK keys) stays on device.
  • Temporary transcription data is deleted within 72 hours.
  • We do not sell personal data; analytics are anonymized.

10. AI Output Disclaimer

AI‑generated content is produced by third‑party providers and may be inaccurate, incomplete, biased, or inappropriate. Outputs are provided “as is” and do not constitute professional (medical/legal/ financial) advice. You are solely responsible for evaluating and using outputs, including obtaining human review where needed.

11. Pro Token System

11.1 Token Allocation

  • Pro subscribers receive 1,000,000 tokens per billing cycle
  • Tokens refresh automatically on your billing anniversary date
  • Unused tokens do not roll over to the next billing cycle
  • Token balance resets to 1,000,000 at the start of each billing period
  • Free users receive a one-time 10,000 signup bonus tokens

11.2 Token Usage

  • Tokens are consumed when using ClarityPad"s built-in AI models
  • Token cost varies by model based on multipliers:
    • Economy models (0.5x): 50% cheaper, ideal for everyday tasks
    • Balanced models (0.6x-0.8x): Good value for most use cases
    • Standard models (1.0x): Full capability for complex tasks
  • Actual token usage is tracked and displayed in your usage history
  • Token usage is final and non-refundable once consumed
  • BYOK (Bring Your Own Key) usage does not consume Pro tokens

11.3 Available Models

  • Pro subscribers can access 8+ built-in AI models including Grok 4, Llama 4, DeepSeek, and more
  • Models are categorized by token cost multipliers to help you choose based on your needs
  • All models are provided through third-party services (OpenRouter, etc.)
  • Model availability may change without notice, including addition or removal of models
  • We reserve the right to adjust model multipliers with or without notice
  • ClarityPad does not guarantee model availability, accuracy, or uptime

11.4 Token Expiration

  • Pro tokens expire at the end of each billing cycle
  • Subscription cancellation forfeits all remaining tokens immediately
  • One-Time purchase: Tokens remain available for up to 36 months from purchase date
  • Free user tokens expire 90 days after issuance

11.5 Fair Use Policy

  • Tokens are for personal use only
  • Sharing accounts, reselling tokens, or commercial redistribution is strictly prohibited
  • Automated token farming, scraping, or abuse is prohibited
  • We reserve the right to suspend or terminate accounts for abuse, unusual activity, or violation of this policy
  • Suspended accounts forfeit all remaining tokens without refund

11.6 Token Modifications

  • ClarityPad reserves the right to modify token allocations, multipliers, or policies at any time
  • Material changes to monthly token allocations will be communicated with reasonable notice
  • Model-specific multiplier adjustments may occur without individual notice
  • Continued use of the service after changes constitutes acceptance of the new terms

12. Third‑Party Links & Dependencies

The Service may reference third‑party sites or models. We are not responsible for their availability, accuracy, or content and disclaim liability related thereto.

13. Platform Compliance & App Store Terms

ClarityPad is distributed through the Apple App Store and Google Play Store. Your use of the app is also subject to the applicable app store terms:

  • Apple App Store: Subject to the Licensed Application End User License Agreement
  • Google Play Store: Subject to the Google Play Terms of Service
  • Data Safety: Our data collection and sharing practices comply with both platform requirements, including Google Play's Data Safety program and Apple's App Privacy requirements.
  • Platform Policies: We adhere to all applicable platform content policies, developer policies, and user safety guidelines.

14. Termination & Suspension

You may stop using ClarityPad at any time. We may suspend or terminate access where we reasonably believe these Terms, provider policies, or laws have been violated. Suspension/termination may be immediate and without refund.

15. Limitation of Liability

To the maximum extent permitted by law, ClarityPad and its affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or loss of profits, data, or goodwill, arising from your use of (or inability to use) the Service or reliance on outputs. Our total liability for all claims is limited to the amounts paid by you (if any) in the preceding 12 months.

16. Indemnification

You agree to defend, indemnify, and hold harmless ClarityPad and its affiliates from claims, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of your use or misuse of the Service, violation of these Terms or provider terms, or infringement of rights.

17. Changes to the Service & Terms

We may modify, suspend, or discontinue features and update these Terms. Material changes will be communicated in‑app or on our site. Continued use after updates constitutes acceptance of the revised Terms.

18. Governing Law & Dispute Resolution

These Terms are governed by the laws of India, with exclusive jurisdiction in the courts of Bengaluru, Karnataka.
